Sim-Tech Terms & Conditions

1) AGREEMENT TO TERMS

These Terms of Use (the “Terms”) are a legal agreement between you (“you”) and Simulation Technology (“Sim-Tech,” “we,” “us,” or “our”) governing your access to and use of https://www.sim-tech.us and related sites, portals, software, training materials, documentation, and services (collectively, the “Site” or “Services”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

We may update these Terms at any time. We will update the “Last updated” date and your continued use constitutes acceptance. You are responsible for reviewing the current Terms.

The Site is intended for users 13+. Minors must have parental/guardian permission and supervision.

2) INTELLECTUAL PROPERTY

Unless otherwise indicated, the Site, software, designs, text, images, videos, documentation, and other materials (collectively, “Content”), and trademarks, service marks, and logos (“Marks”), are owned by or licensed to Sim-Tech and protected by applicable IP laws. Except as expressly permitted, you may not copy, reproduce, republish, upload, post, publicly display, translate, transmit, distribute, sell, license, or otherwise exploit the Content or Marks for any commercial purpose without prior written permission.

Subject to these Terms, we grant you a limited, revocable, non-transferable license to access and use the Site for your internal business purposes. All rights not expressly granted are reserved.

3) USER REPRESENTATIONS

You represent and warrant that: (i) all information you provide is accurate and current; (ii) you have capacity to agree to these Terms; (iii) you are at least 13 (and, if a minor, have parental consent); (iv) you will not use the Site for unlawful purposes; and (v) your use complies with applicable laws.

4) ACCOUNTS & SECURITY

You may need an account. Keep your credentials confidential and secure; you are responsible for activities under your account. We may require multi-factor authentication and may disable accounts that violate these Terms.

5) PROHIBITED ACTIVITIES

You agree not to:

  • Access the Site for unlawful, infringing, or competitive purposes;

  • Scrape, harvest, or create databases without written consent;

  • Circumvent or interfere with security features;

  • Upload malware or perform actions that disrupt the Site;

  • Impersonate others or misrepresent your affiliation;

  • Reverse engineer or decompile software except to the extent permitted by law;

  • Use automated tools (bots, spiders) without permission;

  • Share or redistribute licensed software, firmware, documentation, training content, or performance/results data without permission;

  • Access content or systems you are not authorized to access.

6) USER CONTENT

If you submit reviews, comments, support materials, images, videos, or other content (“Contributions”), you grant Sim-Tech a non-exclusive, worldwide, royalty-free license to host, use, reproduce, display, and distribute such Contributions for operating and improving the Services and for lawful business purposes. You represent that you own or have rights to your Contributions and that they do not violate any rights or laws. We may monitor, edit, or remove Contributions at our discretion.

7) ORDERS, PRICING, & AVAILABILITY

Quotes, pricing, and availability for simulators, software, accessories, training, and services are subject to change. A binding order arises when we accept your purchase order or executed agreement. Lead times are estimates. Taxes, shipping, and fees are additional unless otherwise stated.

8) SOFTWARE LICENSE & ACTIVATION

Sim-Tech software (including firmware and activation files) is licensed, not sold, under the applicable end-user license agreement (EULA) accompanying the software. You must comply with the EULA terms (e.g., site/seat limits, activation keys, updates, usage restrictions). Unauthorized copying or distribution is prohibited.

9) DELIVERY, INSTALLATION, & TRAINING

Delivery terms, installation, calibration, and onboarding/training services (if any) will be specified in your order or statement of work. You must provide reasonable access and meet site readiness requirements. Delays not caused by Sim-Tech may incur rescheduling or standby fees.

10) SUPPORT, MAINTENANCE, & UPDATES

Support levels, response times, and update eligibility may depend on your support plan or warranty coverage. Contact support@sim-tech.us. Remote diagnostics may require network access and your consent.

11) RETURNS & RMA

Return eligibility (if any) is governed by the applicable sales agreement or RMA policy. Custom equipment, software licenses, activation keys, and opened media are typically non-returnable. You must obtain an RMA before shipping any item.

12) WARRANTY (SUMMARY)

Hardware and software warranties (if provided) are described in your sales agreement or warranty statement. Typical coverage includes defects in materials and workmanship under normal use, with exclusions for misuse, improper installation, modifications, accidents, consumables, environmental conditions, and third-party components. Remedies may include repair or replacement at our option. This summary does not modify any written warranty terms supplied with your purchase.

13) THIRD-PARTY PRODUCTS & LINKS

Third-party products, services, or links are provided “as is.” We are not responsible for their content, performance, or availability.

14) PRIVACY

Our Privacy Policy explains how we collect and use personal information and is incorporated into these Terms.

15) DMCA NOTICE

If you believe material on the Site infringes your copyright, send a notice with details required by 17 U.S.C. §512(c)(3) to:

We may remove or disable access to allegedly infringing material and may terminate repeat infringers as appropriate. Counter-notifications should follow 17 U.S.C. §512(g).

16) MODIFICATIONS & INTERRUPTIONS

We may change, suspend, or discontinue the Site or any feature at any time without liability. We do not guarantee continuous availability.

17) GOVERNING LAW & VENUE

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. The exclusive venue for any permitted court action is the state or federal courts located in Illinois, and you consent to personal jurisdiction there.

18) DISPUTE RESOLUTION & ARBITRATION

Before filing a claim, the parties will attempt to resolve disputes informally for 30 days after written notice. If unresolved, disputes will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the AAA. The arbitration will take place in Cook or DuPage County, Illinois (unless otherwise required by law). YOU WAIVE THE RIGHT TO A JURY TRIAL. Claims must be brought individually (no class actions or representative claims). Either party may seek injunctive relief for IP or confidentiality violations in a court of competent jurisdiction. If a court finds any part of this section unenforceable, the remaining parts will still apply.

19) DISCLAIMER

THE SITE, CONTENT, AND ANY DEMOS OR TRIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SIM-TECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SITE OR CONTENT WILL BE ERROR-FREE OR UNINTERRUPTED.

20) LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SIM-TECH OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS/REVENUE/GOODWILL/USE/DATA. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED US$200 OR THE AMOUNT YOU PAID (IF ANY) FOR ACCESS TO THE SITE IN THE 30 DAYS BEFORE THE CLAIM, WHICHEVER IS LESS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; SOME LIMITATIONS MAY NOT APPLY TO YOU.

21) INDEMNIFICATION

You will defend, indemnify, and hold harmless Sim-Tech and its affiliates and personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Site, your Contributions, or your breach of these Terms or applicable law.

22) ELECTRONIC COMMUNICATIONS & SIGNATURES

You consent to receive communications electronically, and agree that electronic signatures and records have the same force and effect as originals.

23) SEVERABILITY; WAIVER; ASSIGNMENT; ENTIRE AGREEMENT

If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remainder will remain in effect. Our failure to enforce any right is not a waiver. We may assign these Terms; you may not without our consent. These Terms (plus any incorporated policies, EULAs, or written order documents) constitute the entire agreement regarding the Site.

24) SMS TERMS & CONDITIONS

By opting into SMS communications from Sim-Tech, you agree to receive text messages related to your training and account, which may include:

  • Appointment reminders and schedule updates
  • Enrollment and course notifications
  • Account alerts and service updates
  • Promotional offers and special announcements (if opted in)
